With more than 30 years of commercial experience, Russell has spent his career building relationships, identifying opportunities and bringing the right people together. His strength lies in understanding what each side of a deal needs — and finding the commercial common ground that turns an opportunity into a working partnership.

Brand Structure

Relationship between IPCo and OpCo

A simple structure to own, protect and grow brands.

Sale of working capital

Brand Owner

Sells the brand (intellectual property) to IPCo and may receive cash / working capital at the time of transaction.

IPCo

Owns 100% of BrandCo IP

Trademarks | Designs | IP Rights

Licenses IP in certain geographies, channels, product categories, etc.

Quarterly royalty payments based on revenues, subject to minimum guarantees.

OpCo A

Licensee & Manufacturer

  • Purchases working capital for cash
  • Manufactures licensed products
  • May or may not own factories
  • Sells into agreed markets / channels

OpCo B

Licensee

  • Sources / manufactures products
  • Has design responsibility
  • Has sales responsibility
  • Sells into agreed markets / channels

OpCo C

Licensee

  • Sources products (own or third party)
  • Has marketing and sales responsibility
  • Sells into agreed markets / channels
  • Pays royalties to IPCo

Transfer of IP

BrandCo sells its intellectual property (e.g. trademarks, designs) to IPCo, and may receive cash or working capital at the time of transaction.

Licensing to OpCos

IPCo licenses the IP to one or more operating companies (OpCos) in agreed geographies, channels or product categories.

Ongoing Royalties

OpCos pay quarterly royalties to IPCo based on revenues, subject to minimum guarantees.

Over three decades, he has developed extensive experience working with manufacturers, wholesalers, distributors, retailers and brand owners, giving him a practical understanding of how products move from an idea or opportunity into the hands of the customer.

He combines commercial instinct with an established network of industry relationships to identify opportunities that may otherwise be overlooked.

For Russell, a successful deal isn't simply about getting an agreement signed. It needs to work commercially, work for the brand and work for the people behind it.
